End of Life Notice
IntelaMetrix Holdings, Inc.
This notice applies globally to all customers and authorized users of IntelaMetrix software and devices, regardless of jurisdiction, acquisition channel, or device variant.
1. Purpose
This notice informs all customers and authorized users of IntelaMetrix software and devices ("Customers") of important changes to IntelaMetrix software offerings and the introduction of the IntelaMetrix Master End User License Agreement ("EULA") governing all current and future use of IntelaMetrix software and devices.
IntelaMetrix is modernizing its Platform and transitioning from legacy, on-premise software to a unified, cloud-based software-as-a-service platform (the "BodyMetrix App"). This notice constitutes IntelaMetrix's formal End-of-Life ("EOL") notice for BodyView.
Operational rollout, onboarding, and support availability may be phased by region. Such sequencing does not alter the legal effectiveness of this notice or the timelines set forth herein.
2. Legacy Software Status — BodyView (All Versions)
Effective January 1, 2026, BodyView is designated as deprecated and scheduled for withdrawal. As of this date, IntelaMetrix no longer actively develops, maintains, modifies, updates, secures, or ensures regulatory alignment for BodyView. All engineering and development resources have been redirected to the BodyMetrix App.
BodyView remains available and functional for a limited transition period solely to facilitate Customer migration to the BodyMetrix App. No reliance should be placed on its continued availability, performance, security, or regulatory alignment beyond the transition period defined in Section 3.
3. Transition Timeline and Final Withdrawal Date
IntelaMetrix will provide a structured transition period to allow Customers to migrate to the BodyMetrix App.

After the Final Withdrawal Date of December 31, 2028: (a) BodyView will be withdrawn and decommissioned; (b) use of BodyView will no longer be authorized; and (c) continued device operation will require use of the BodyMetrix App and an active SaaS subscription. No extensions beyond the Final Withdrawal Date will be provided unless approved in writing by IntelaMetrix.
4. Introduction of the IntelaMetrix Master EULA
Effective January 1, 2026, all access to and use of IntelaMetrix software and devices is governed exclusively by the IntelaMetrix Master End User License Agreement ("EULA"), including during the transition period.
The EULA governs, among other things: software access and use; SaaS subscription requirements; device functionality and remote enforcement; data rights and privacy; support, warranties, and limitations of liability; AI and machine learning rights; and dispute resolution.

- Within the BodyMetrix App at activation
- During device registration
- Upon written request to legal@BodyMetrix.com
Continued use of any IntelaMetrix software or device on or after January 1, 2026 constitutes acceptance of the EULA. New customers accepting the EULA at point of purchase and platform activation are bound by click-wrap acceptance as described in EULA Section 1.2.
5. SaaS Dependency and Device Operation
Beginning May 1, 2026, following the North America launch of BodyMetrix subscriptions:
- An active SaaS subscription to the BodyMetrix App is required for device operation.
- The BodyMetrix Platform is architected as an integrated system. Devices are designed to operate as part of this integrated Platform and require an active SaaS subscription to function. This architecture enables IntelaMetrix to deliver enhanced security, continuous updates, cloud-based data management, and ongoing product improvements to Customers.
- Suspension or termination of SaaS access may render devices inoperable, as further described in the EULA.
- IntelaMetrix may remotely monitor device subscription status and, upon a subscription lapse or termination, disable device functionality consistent with EULA Section 3.3.

6. Legacy Data — Collection, Retention, and Migration
6.1 Legacy Telemetry Data
IntelaMetrix collects and retains a limited set of operational telemetry data from BodyView installations. This data consists solely of: operating system type (PC or Mac); last usage date and time; client count; account name; and BodyMetrix device serial number. This data does not include End User personal data, body composition measurements, or any health-related information.
IntelaMetrix retains this operational telemetry data indefinitely for platform integrity, licensing enforcement, and product improvement purposes. This data is not sold to third parties.
6.2 Customer Data Migration
IntelaMetrix may provide tools or assistance to support migration of legacy data to the BodyMetrix App. Migration methods may vary; Customer cooperation may be required; and automatic migration is not guaranteed. Customers are responsible for exporting any data they wish to retain prior to the Final Withdrawal Date of December 31, 2028.
6.3 Cross-Border Data Processing
As part of the transition to the BodyMetrix App, Customer data may be processed or stored in jurisdictions outside the Customer's location, in accordance with the EULA and applicable data protection laws. IntelaMetrix applies appropriate safeguards to cross-border transfers, including where applicable Standard Contractual Clauses for transfers from the EU and UK. Customers subject to the EU GDPR, UK GDPR, Canada's PIPEDA, or Quebec Law 25 should refer to the Data Processing Addendum for applicable rights and obligations.
6.4 Data Subject Rights
Where required by applicable law, individuals may exercise data subject rights including access, correction, deletion, portability, and objection to processing by contacting privacy@BodyMetrix.com. IntelaMetrix will respond to valid requests within the timeframe required by applicable law.
6.5 Artificial Intelligence and Machine Learning
As part of the BodyMetrix App Platform, IntelaMetrix processes Customer data — including aggregated, de-identified, and derived data — for purposes that include the development and improvement of artificial intelligence and machine learning models. These rights are a material basis on which IntelaMetrix provides the Platform and are set forth in full in EULA Sections 4 and 5. The AI and machine learning rights granted under the EULA are perpetual, irrevocable, and not subject to opt-out. Customers subject to Quebec Law 25 or EU/UK GDPR transparency requirements are directed to the EULA Schedule B (Privacy Notice) and Schedule C (Data Processing Addendum) for applicable disclosures.
7. Regulatory and Permitted Use
Regulatory status, certifications, approvals, and permitted uses of BodyMetrix software, devices, and services may vary by jurisdiction. Customers are responsible for ensuring that their use of the Platform complies with applicable local laws, regulations, and professional requirements in their jurisdiction.
IntelaMetrix does not warrant that the Platform meets the regulatory requirements of any specific jurisdiction not expressly identified by IntelaMetrix in writing. Customers operating in regulated professional environments — including athletic compliance, clinical, and institutional settings — should confirm applicable regulatory alignment with IntelaMetrix prior to transition.
8. Export Controls and Sanctions Compliance
Access to the Platform is subject to applicable United States export control laws and regulations, including the Export Administration Regulations (EAR) and economic sanctions programs administered by the Office of Foreign Assets Control (OFAC). IntelaMetrix may restrict, suspend, or terminate access to the Platform where required to comply with such laws. Customers represent that neither they nor any of their principals are Specially Designated Nationals or otherwise subject to applicable sanctions restrictions.
9. Resellers, Distributors, and OEM Devices
No reseller, distributor, or third party is authorized to modify this notice or make representations inconsistent with it. All Customers, including those purchasing through authorized resellers or distributors, are subject to the EULA and this transition notice.
This notice applies to all BodyMetrix-branded devices and all BodyMetrix-powered devices, including white-label and OEM variants manufactured by IntelaMetrix Holdings, Inc. For OEM devices not manufactured by IntelaMetrix Holdings, Inc., warranty and transition terms are governed by the applicable OEM agreement.
The transition timelines set forth in Section 3 reflect the North America operational schedule. Authorized distributors in Rest of World territories are invited to propose regional transition timelines aligned with the December 31, 2028 Final Withdrawal Date. Such proposals must be submitted to IntelaMetrix in writing.
10. Governing Law and Mandatory Law Carve-Out
This notice is governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
Where a Customer is located in the European Union or United Kingdom, nothing in this notice excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition, implied or imposed by applicable mandatory EU or UK law that cannot lawfully be excluded or limited.
For Canadian Customers, this notice is subject to applicable federal and provincial consumer protection and privacy legislation, including PIPEDA and Quebec Law 25.
Any dispute arising from or relating to this notice shall be resolved in accordance with the dispute resolution provisions of the EULA, including the binding arbitration and class action waiver set forth in EULA Section 18, to the fullest extent permitted by applicable law.
11. Language and Interpretation
This notice is issued in English. Translations, if provided, are for convenience only. In the event of any conflict between this notice and a translation, the English version controls, subject to mandatory local law requirements.
12. Support During the Transition Period
IntelaMetrix will offer transition guidance, onboarding assistance, and incentives for early adoption of the BodyMetrix App during the transition period. Support for BodyView is limited to transition assistance only and does not include active development, security updates, bug fixes, or regulatory maintenance.

13. Notice Delivery and Acceptance
This notice is published on the BodyMetrix website. IntelaMetrix will also deliver this notice to Customers through direct email communication to addresses on record and, beginning May 1, 2026, through in-application notification within the BodyMetrix App.
For Customers subject to Canadian privacy and consumer protection law, IntelaMetrix will deliver this notice by direct email to the address on record and will provide a supplemental reminder no fewer than thirty (30) days prior to the May 1, 2026 SaaS subscription requirement date.
Continued use of any IntelaMetrix software or device following delivery of this notice constitutes acceptance of the transition terms and the EULA.
